1. Agreement to Terms

By downloading, installing, or using the Collateral application ("the App"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you do not agree to these Terms, you must not use the App.

2. License Grant

Collateral Dev LLC ("we," "us," or "our") grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business purposes.

You may not:

  • Modify, copy, or redistribute the App
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the App for unlawful purposes
  • Circumvent or interfere with license validation mechanisms

This license is not a sale of the software.

3. Accounts, Trials, and Licensing

a. Trial Access

We may offer a free trial period. Trial access may be limited in duration or functionality.

b. Paid Licenses

Access to full functionality may require a paid license.

  • Licenses are issued to a specific user (e.g., via name and email)
  • Licenses may be validated periodically via our servers
  • Failure to validate a license may result in limited or revoked access

c. License Restrictions

  • You may not share or resell your license
  • You may not attempt to bypass licensing controls

We reserve the right to suspend or revoke licenses that violate these Terms.

d. Refunds

If you are not satisfied with the App, you may request a refund within 14 days of your original purchase date. Refund requests must be submitted through the contact form at collateral.app/#contact. Requests made after 14 days of purchase will not be eligible for a refund.

e. Cancellation

If you wish to cancel your license or discontinue use of the App, please contact us using the form at collateral.app/#contact. Your locally stored data will remain on your device and is your responsibility to manage or delete.

4. Local Data Storage & Responsibility

Collateral is a local-first application. Your financial data is stored on your device.

  • We do not store or have access to your financial data
  • You are solely responsible for maintaining backups of your data
  • You are responsible for securing access to your device

We are not responsible for loss, corruption, or recovery of your locally stored data.

5. Automatic Updates

The App may automatically check for, download, and install updates to improve performance, functionality, or security. Updates may modify or remove features and may be required for continued use of the App.

Future updates may require a minimum version of macOS or Windows that your device does not support. In such cases, continued use of the App may not be possible on older operating systems. We are not responsible for any incompatibility arising from your device's operating system version.

6. Third-Party Services

The App may rely on third-party services, including payment processing providers.

  • Payments are processed by Stripe
  • We are not responsible for third-party services or their terms

Future integrations (e.g., financial data providers) may be offered as optional features.

7. Disclaimer of Warranties

The App is provided "as is" and "as available."

To the maximum extent permitted by law, Collateral Dev LLC disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of results

We do not guarantee that the App will be:

  • Error-free
  • Secure
  • Uninterrupted

8. Limitation of Liability

To the fullest extent permitted by law, Collateral Dev LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of financial data
  • Loss of profits or revenue
  • Business interruption
  • Data corruption or device failure

This includes any loss of locally stored financial data.

Our total liability for any claim related to the App shall not exceed the amount you paid for the App (if any).

9. Accuracy & Financial Use Disclaimer

Collateral is a tool for personal and business financial tracking.

  • We do not guarantee accuracy of calculations or data
  • The App does not provide financial, legal, or tax advice
  • You are responsible for verifying your financial information

10. Dispute Resolution

We want to resolve any concerns quickly and fairly. If you have a dispute related to the App or these Terms, please contact us first using the form at collateral.app/#contact. We will make a good-faith effort to resolve the issue informally, which in many cases may include issuing a refund.

If a dispute cannot be resolved informally within 30 days of your initial contact, either party may pursue the matter in small claims court in the State of Minnesota, provided the claim falls within that court's jurisdictional limits.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

11. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms.

Upon termination:

  • Your license is revoked
  • You must stop using the App

12. Changes to the App

We may modify, update, or discontinue features of the App at any time without notice.

13. Changes to These Terms

We may update these Terms from time to time.

  • The "Last Updated" date will reflect changes
  • Continued use of the App constitutes acceptance of updated Terms

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in Minnesota for any dispute not resolved through the process described in Section 10.

15. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and be enforceable.
